Terms of service

These terms apply to all design services provided by Akvilė Balsytė (Balsyte design), Vilnius, Lithuania, whether as a single project or as a monthly plan. A written quote or plan confirmation may set out additional details. Where the quote and these terms differ, the quote applies.

1. Quotes and scope

Every project begins with a written quote stating the scope, the deliverables, the timeline and the price. Work starts once the client has confirmed the quote in writing. The price is fixed for the scope described. Changes to the scope are agreed in writing and priced before they are carried out.

2. Process

The principal element of the work (for example the key visual, the main layout or the logo direction) is presented and approved on its own before it is adapted to further formats. Adaptations are produced on the basis of the approved element.

3. Revisions

Each project price includes two rounds of revisions, unless the quote or the client's plan states otherwise (the Full and Partner monthly plans include unlimited revisions). A revision round consists of one consolidated set of comments from the client. Additional rounds are billed at the hourly rate stated in the quote and are agreed in advance.

4. Timelines

Timelines run from the date on which all material required for the work (brief, copy, logos, images, approvals) has been received. Delays in providing material or approvals extend the timeline accordingly. A shortened timeline agreed in writing carries a surcharge of 30%. Work required within 24 hours, in the evening or at the weekend carries a surcharge of 50%.

5. Payment

Projects up to 500 € are invoiced in full on confirmation. Projects from 500 € are invoiced 50% on confirmation and 50% on delivery. Final files are released on receipt of the final payment. Monthly plans start on the date agreed and renew every month from that date; each month is invoiced at its start. Either party may end a plan by giving written notice before the next renewal date. Invoices are payable within 14 days of issue. Prices are stated in euros. The designer is not a VAT payer, so no VAT is added.

6. Monthly plans

A monthly plan provides one active request at a time from a shared task board (two on the Partner plan), delivered within the number of business days stated for the plan. Requests are queued without limit and handled in order. Unused capacity does not carry over to the following month. The monthly fee is payable for each month of the plan regardless of the number of requests submitted.

7. Cancellation

If the client cancels a project after confirmation, work completed to the date of cancellation is invoiced and the initial payment is not refunded. If the designer cancels, the client pays only for work delivered in usable form.

8. Intellectual property

On receipt of the final payment, the client owns the final delivered files and may use them for the purposes stated in the quote, without limit in time. Until then, all rights remain with the designer. Working files, sketches, unused concepts and internal templates remain the property of the designer unless the quote includes them. Fonts, stock images and other licensed material are purchased in the client's name or on the client's account, so that the licence is held by the client.

9. Portfolio

The designer may present finished work in her portfolio and on social media once the work has been published, naming the client. Work agreed as confidential before the project starts is not presented.

10. Client material

The client confirms that any text, images, logos and other material supplied for the work are the client's to use. The client is responsible for any claim arising from material the client has supplied.

11. Liability

The designer carries out the work with professional care. The designer is not liable for indirect losses such as lost sales or missed campaigns. Liability is limited to the amount paid for the piece of work concerned. The client is responsible for checking final files before print or publication; corrections requested after the client's approval are billed as new work.

12. Governing law

These terms are governed by the law of the Republic of Lithuania. Disputes are first addressed by discussion between the parties; failing that, the courts of Vilnius have jurisdiction.
